3. Client Responsibilities
Clients agree to:
- Provide accurate and complete information when engaging us
- Maintain appropriate backups unless covered by our backup solution
- Ensure software licenses are up to date and legally obtained (unless we manage them)
- Notify us promptly of any system issues or security breaches
4. Payments and Billing
- Services may be billed monthly, annually, or per engagement.
- Payment terms are strictly 14 days from the invoice date.
- Late payments may incur an administrative fee or interest.
- We reserve the right to suspend or terminate services for overdue accounts.
5. Confidentiality
We take confidentiality seriously. All client information, business data, and systems we access in the course of our work will be treated as confidential and only used for service delivery purposes.
6. Intellectual Property
All materials provided by us, including documentation and custom-built scripts or systems, remain the intellectual property of Vaelis IT unless otherwise agreed in writing.
7. Limitation of Liability
To the maximum extent permitted by law:
- Vaelis IT is not liable for indirect, incidental, or consequential damages.
- Our total liability in connection with any service is limited to the amount paid for that specific service.
- We are not responsible for data loss, downtime, or disruptions caused by third-party vendors or force majeure events.
8. Termination
Either party may terminate ongoing services with 30 written notice unless otherwise outlined in a service agreement. Outstanding fees remain payable upon termination.
9. Third-Party Services
Where services involve third-party platforms (e.g., Microsoft 365, cloud providers), you agree to their respective terms of service. We are not liable for service outages or issues caused by third-party providers.
10. Website Usage
By accessing our website, you agree not to:
- Use it for unlawful or misleading purposes
- Attempt to gain unauthorized access to our systems
- Copy or redistribute content without written permission
11. Privacy
